Catalyst Brands Rewards Access Loyalty Program Terms

These Catalyst Brands Rewards Access Loyalty Program Terms (the "Program Terms") apply to your access to and participation in the Catalyst Brands Rewards Access Loyalty Program ("Loyalty Program") provided by Catalyst Brands LLC ("Catalyst Brands," "we," "us," or "our").

The Loyalty Program is intended to provide you with the opportunity to earn and redeem rewards across currently participating brands (each, a "Participating Brand"). The current Participating Brands are JCPenney (operated by Penney OpCo LLC) and Aéropostale (operated by SPARC Group LLC d/b/a Aéropostale). These Program Terms are in addition to, and not in lieu of, your rights and obligations under the applicable terms and conditions of each Participating Brand ("Brand Terms"), including the JCPenney Terms & Conditions and the Aéropostale Terms of Use.

Please read these Program Terms carefully. By participating in the Loyalty Program, you agree to these Program Terms and the Brand Terms. If you do not agree to these Program Terms and all Brand Terms, do not participate in the Loyalty Program. For information about how your personal information is collected, used, and disclosed by a Participating Brand, please visit the Participating Brand’s website and review its Privacy Policy. Some states require additional disclosures for financial incentives/bona fide loyalty programs. Please refer to the Notice of Financial Incentive in the Participating Brand’s Privacy Policy for these disclosures.

THE DISPUTE RESOLUTION, BINDING ARBITRATION, CLASS ACTION WAIVER, GOVERNING LAW, VENUE, INDEMNIFICATION, AND LIMITATION OF LIABILITY PROVISIONS IN THE BRAND TERMS WILL, AS IF RESTATED IN THESE PROGRAM TERMS, APPLY TO ANY DISPUTE OR CLAIM WITH CATALYST BRANDS OR A PARTICIPATING BRAND ARISING OUT OF OR RELATED TO THESE PROGRAM TERMS, THE LOYALTY PROGRAM, ALL ADVERTISING OR MARKETING COMMUNICATIONS REGARDING THE LOYALTY PROGRAM OR PARTICIPATING BRANDS, ALL PURCHASES YOU MAKE FROM PARTICIPATING BRANDS, WHETHER IN STORE OR VIA ONLINE OR MOBILE APPLICATION, AND ANY PRODUCTS OR SERVICES SOLD OR DISTRIBUTED THROUGH PARTICIPATING BRANDS.

1. What is the Catalyst Brands Loyalty Program?

The Loyalty Program allows customers who have enrolled in the Loyalty Program ("Members") to earn points ("Points") and to access services, discounts, and other benefits (collectively, "Rewards") based on their Point balance and tier status.

Regardless of whether you enrolled in the Loyalty Program via a Participating Brand’s website, mobile application, or retail store, the Loyalty Program is part of the services provided by the Participating Brand’s Website (as that term is defined in the Brand Terms). Information about the Loyalty Program is available on each Participating Brand’s Website. Catalyst Brands disclaims all warranties regarding the Loyalty Program.

2. Who is eligible to enroll in the Loyalty Program?

You must be at least eighteen (18) years of age (or the age of legal majority where you live) to participate in the Loyalty Program. Do not enroll in the Loyalty Program if you are under 18 years of age. If you are a parent or guardian and you believe that your child under the age of 18 is participating in the Loyalty Program without your consent, please contact us at privacyrights@catalystbrands.com. The Loyalty Program is available only to customers within the United States, including Puerto Rico.

3. How do I enroll in the Loyalty Program?

Existing JCPenney Rewards members will be automatically enrolled in the Loyalty Program. JCPenney Credit Card or JCPenney Mastercard cardholders will be automatically enrolled in the Loyalty Program. If you are not automatically enrolled, you can join the Loyalty Program by enrolling with a Participating Brand. Enrolling in the Loyalty Program with one Participating Brand automatically enrolls you across all Participating Brands.

4. What is my Membership level?

Members are placed into tiers based on qualifying spend and credit card status, as follows:

  • Member Tier: A member is placed in the Member tier upon enrolling in the Loyalty Program by creating an account with a Participating Brand.
  • Insider Tier: A member qualifies for the Insider tier by either (a) spending $100 at any Participating Brand within a calendar year or (b) being a JCPenney Credit Card or JCPenney Mastercard cardholder.
  • Elite Tier: A member qualifies for the Elite tier by spending $300 at any Participating Brand within a calendar year.
  • VIP Tier: A member qualifies for the VIP tier by spending $1,000 at any Participating Brand within a calendar year and being a JCPenney Credit Card or JCPenney Mastercard cardholder.

5. How can I earn Points?

Points may not be purchased and may only be earned by completing the eligible activities described in the table below or as otherwise stated by Catalyst Brands. Points typically show up in your balance within approximately forty-eight (48) hours after an order is shipped (for online purchases) or after the in-store transaction is completed, but some Points may take longer to show up. Eligible activities are subject to change. You can check your current Point balance by visiting your account dashboard after signing into a Participating Brand's website. If you believe you are missing Points or have questions about your Points, you can contact our Customer Service by either visiting a Participating Brand’s website and using the chat feature or calling 1.877.289.2376 for Aéropostale or 1.800.322.1189 for JCPenney.

Points are not redeemable for cash and have no cash value. Your Points are personal to you and may not be sold, transferred (by operation of law or otherwise) or assigned or used by you for any commercial purpose. To help prevent fraud and keep the Loyalty Program viable for all Members, Catalyst Brands may impose additional limits on the number of Points that a Member can earn on a per-day or per-transaction basis.

Activity Points Terms/Details
Make a Purchase: You can earn Points for purchasing eligible goods from a Participating Brand. 1 Point for every eligible $1, with some purchases qualifying for additional Points based on your tier and payment method To be awarded Points, you must provide your Loyalty Program information when you make a purchase. For purchases made online, this means you must be logged in to an account you have with the Participating Brand you used to enroll in the Loyalty Program. You will not earn Points on the following types of purchases, fees, or charges:
  • CashPasses (defined in Section 8): All CashPasses, including Bonus CashPasses or any CashPasses earned under this Program.
  • Gift Cards : All gift cards, including physical and electronic gift cards, store-branded gift cards, and third-party cards.
  • Taxes and Fees: Sales tax, environmental or bag taxes, and any other service fees or charges.
  • Charges and Fees: Shipping fees, delivery or installation charges, restocking or recycling fees, and other similar charges and fees.
  • Protection Plans: All product warranties and protection plans.
  • Services: Fees for services, such as drapery services, alterations, installation, or service gratuity.
  • Financing: Promotional financing charges.
  • Non-Retail: Corporate purchases, catalog media sales, and any other non-retail transactions.
  • Donations: Charitable donations, including amounts from rounding up a purchase to the nearest dollar.
  • International Purchases: International orders, including orders shipped to addresses outside the United States (including Puerto Rico) and purchases made through non-U.S. localized versions of the website or mobile application.
  • Other Exclusions: Any other items, promotions, or charges designated as ineligible for Points at the time of purchase or in applicable promotional terms.

Points are calculated based on your net purchase amount, which is the amount you actually pay for eligible items after deducting any discounted amounts, applied coupons or promotions, and the excluded items and fees listed above. See Section 9 for the impact of returns on Points.

You may not earn more than 2,000 Points per transaction.

Complete a Challenge: You can earn Points or a Challenge CashPass by completing Challenges. Varies by Challenge See Section 7 for details regarding Challenges.

6. What are the Loyalty Program tiers and what benefits do they offer?

The Loyalty Program is structured into four (4) tiers: Member, Insider, Elite, and VIP. All new Members begin at the Member tier upon enrollment. Existing JCPenney Rewards members who are automatically enrolled in the Loyalty Program may be placed in a higher starting tier based on their qualifying purchases from JCPenney from June 15, 2025, through June 15, 2026, and such members will retain their assigned tier status through December 31, 2027.

All Members may qualify for higher tiers based on the number of Points earned during a Program Year. A "Program Year" means the twelve-month period beginning on January 1 and ending at 11:59 p.m. Central Time on December 31 of the same calendar year.

Once you qualify for a higher tier, your upgraded status will remain valid from the time you reach that status through the end of the following Program Year. After that, your tier status for the following Program Year will be based on your qualifying spend in the preceding Program Year. This means, for example, that if you reach the VIP tier in Program Year one, you will continue to enjoy the VIP tier until the end of Program Year two. To keep the VIP tier in Program Year three, you must meet the VIP tier qualifying spend threshold in Program Year two. Otherwise, you will be lowered to the tier level that your qualifying spend in Program Year two qualifies for. For information regarding minimum tier status for JCPenney Credit Card and JCPenney Mastercard cardholders, please see Section 11.4.

See Tier Benefits for the current tier structure, qualifying thresholds, and Rewards associated with each tier, which may be updated by Catalyst Brands at any time. Catalyst Brands may offer different Rewards to individual Members at its discretion. While store associates of the Participating Brands are eligible to enroll in the Loyalty Program, when using the associate discount, store associates will not be able to earn Point multipliers for purchases, are not eligible for the free shipping available to the VIP tier, and may not be eligible for other benefits offered to the VIP tier. These restrictions apply to current and former store associates of Participating Brands, as well as to individuals authorized to use an associate discount.

7. What are the Challenges and what benefits do they offer?

You may be permitted to opt in to certain one-time promotional events (each, a "Challenge"). You must opt in to each Challenge individually. To earn Rewards from a Challenge, you must complete the Challenge activities after you opt in and before the Challenge expires. Any Points earned or activities completed before you opt in will not count toward the Challenge. The number of Challenges that you may participate in each Program Year is based on your tier status:

  • Member Tier: You may not participate in Challenges.
  • Insider Tier: You may participate in up to two (2) Challenges per Program Year.
  • Elite Tier: You may participate in up to four (4) Challenges per Program Year.
  • VIP Tier: You may participate in up to six (6) Challenges per Program Year.

Additionally, we may offer all tier members the opportunity to participate in “Mystery Challenges”. Mystery Challenges function like standard Challenges, but participation in a Mystery Challenge does not count toward your maximum number of Challenges per Program Year.

The Rewards for completing a Challenge, along with any additional terms, conditions, and eligibility requirements, will be communicated at the time the Challenge is offered. Catalyst Brands reserves the right to modify, suspend, or cancel any Challenge at any time.

8. How do I earn and redeem CashPasses?

You may earn ten-dollar ($10.00) coupons (each, a "CashPass") from your participation in the Loyalty Program. CashPasses may not be purchased and may only be earned as described in the table below or as otherwise stated by Catalyst Brands. Unless otherwise stated, CashPasses, of all kinds, will automatically be sent to the email address associated with your account within approximately twenty-four (24) hours from the time your CashPass is earned, as described in the chart below. If you do not have a valid email address associated with your account, we may mail your CashPass to you or require you to provide a valid email address before providing a CashPass. Additionally, you may determine your CashPass balance by visiting your account dashboard after signing into a Participating Brand's website or by checking with a store associate.

Activity Terms/Details
Earn CashPass: You can earn a CashPass from accumulating Points. Each time you reach two hundred (200) Points during a Program Year, you will earn a CashPass.
Bonus CashPass: You can earn a CashPass from brand-specific promotional events. From time to time, individual Participating Brands may also offer brand-specific promotional events (a “Bonus Event”) that allow you to earn a CashPass when you complete a Bonus Event. Such Bonus Events are subject to any additional terms communicated at the time the Bonus Event is offered, and a CashPass earned from a Bonus Event may only be redeemed from the Participating Brand responsible for the Bonus Event.
Birthday CashPass: You can earn a CashPass each year on your birthday as an Insider, Elite, or VIP tier member. To be eligible, you must be an Insider, Elite, or VIP tier member and have a birthday date on file with your Loyalty Program account and must either (a) have earned Points within the last twelve (12) months or (b) if a JCPenney Credit Card or JCPenney Mastercard cardholder, be in good standing at the time the Birthday CashPass is awarded and have made at least one purchase with their JCPenney Credit Card or JCPenney Mastercard within the last twelve (12) months. One Birthday CashPass per account per year, except if you sign-up after your birthday, you will have to wait until the next year. You will receive your Birthday CashPass on or about the first day of the month of your birthday.
Welcome CashPass: You can earn a CashPass just for signing up When you sign-up to join the Loyalty Program through Aéropostale’s website or mobile application, you will have the opportunity to receive a $5 Welcome CashPass (redeemable only at Aéropostale) or a $10 JCPenney Welcome CashPass (redeemable only at JCPenney) when you first enroll in the Loyalty Program and select the Welcome CashPass option during initial sign-up. For sign-up through Aéropostale’s website or mobile application, this offer is a one-time opportunity only at the time of enrollment. If the Welcome CashPass option is not selected during the initial sign-up process, it will not be offered again later. When you sign-up to join the Loyalty Program at an Aéropostale store, you will receive a $5 Welcome Pass (redeemable only at Aéropostale).

When you sign-up to join the Loyalty Program through JCPenney’s website or mobile application, you will receive either a $10 JCPenney Welcome CashPass (redeemable only at JCPenney) or a $5 Aéropostale Welcome CashPass (redeemable only at Aéropostale). When you sign up to join the Loyalty Program at a JCPenney store, you will receive a $10 Welcome CashPass (redeemable only at JCPenney). Existing JCPenney Rewards members are not eligible to receive a Welcome CashPass when joining the Loyalty Program.

You may receive only one (1) Welcome CashPass even if you sign-up for accounts at all the Participating Brands.

If you are not an existing member of the Loyalty Program and do not have a JCPenney Credit Card or JCPenney Mastercard, when you apply for and are approved for a JCPenney Credit Card or JCPenney Mastercard, you are automatically enrolled in the Loyalty Program, and a JCP account is created. The $10 JCPenney Welcome CashPass (redeemable only at JCPenney) will automatically be added to your account.

Welcome CashPass will be added to your account within approximately forty-eight (48) hours from the time your account is created. Email addresses are subject to validation.

Additionally, you may also receive a CashPass in connection with your tier benefits or from completing Challenges.

Unless otherwise stated, CashPasses may typically be redeemed at any Participating Brand, subject to availability and any applicable restrictions. Certain CashPasses, as stated in the additional terms and conditions for the Bonus Event or Challenge that awarded the CashPass, may only be redeemable with a specific Participating Brand. Certain Participating Brands may offer products from third-party sellers on their websites ("Marketplace Items"), and CashPasses may not be used to purchase Marketplace Items. In addition to any restrictions communicated with a CashPass, CashPasses may not be applied to in-store services, service plans, closing store purchases, gift cards, current/prior purchases, salon service gratuity, international purchases, or charitable donations, including amounts from rounding up a purchase to the nearest dollar. Additionally, in Puerto Rico, CashPasses may not be applied to Diesel, Fossil, Kenneth Cole, Michael Kors, Rado, Skagen Watches, Cosmetics, Gift Wrap & More, and Universal Sunglasses. CashPass may not be used for payment on account.

For Aéropostale, a maximum of $15 in CashPass value may be redeemed per transaction. For JCPenney, a maximum of ten (10) Cash Passes may be redeemed per transaction.

When redeeming a CashPass, the CashPass functions as a promotional coupon rather than actual cash. The CashPass value will be applied against the total purchase price, including applicable fees and taxes. The CashPass will be applied before pricing incentives, storewide or digital coupons, shipping discounts, and employee discounts. If you use a CashPass to make a purchase that is less than the amount designated on the CashPass, you will forfeit the remainder of that CashPass. CashPasses have no cash value, cannot be exchanged for cash or credit, and do not constitute property. Members have no ownership interest in CashPasses. A CashPass cannot be applied to prior purchases or credited to any account. The use of the word "earn" or any similar language in these Program Terms or other program materials does not imply that CashPasses have any value prior to redemption. CashPasses are personal to you and may not be purchased, sold, transferred, or assigned, and each CashPass may be subject to additional terms. Lost, stolen, damaged, or expired CashPasses will not be replaceable. CashPasses are void where prohibited by law. If you return one or more items from an order purchased using a CashPass, the CashPass will not be refunded or reissued. The CashPass' value will be deducted from your return amount, meaning you will only receive a refund to the extent the price of the returned item(s) exceeds the value of the CashPass. CashPass amount applied to all qualifying items on a prorated basis; any refunds will be given in the prorated amount.

Each CashPass states the date upon which it expires, and expiration occurs at 11:59 p.m. Central Time on that date. Any CashPass not redeemed by its expiration date will be forfeited and will not be replaced, extended, or exchanged for cash or credit. If an existing JCPenney Rewards member holds a JCPenney CashPass at the time of enrollment, they may continue to use it until the expiration date stated on the CashPass. We may refuse, or limit the use of, any CashPass and/or return for any reason, including reoccurring disruptive behavior or fraudulent activity. REPRODUCTIONS WILL NOT BE ACCEPTED.

9. What happens to Points when I make a return or receive a refund?

When an eligible purchase is returned (in whole or in part) or when a post-purchase price adjustment is made, your Point balance will be reduced by the number of Points attributable to the returned or adjusted amount. If a return or adjustment causes your Point balance or qualifying spend to fall below a tier threshold you previously qualified for, your tier status may be adjusted downward accordingly. See Section 6 for more information on tier statuses. If a return or adjustment causes your Point balance to drop below zero, your account will reflect a negative balance. Any future Points you earn will first be applied to offset this negative balance.

10. When do Points expire?

Points expire after twelve (12) consecutive months of account inactivity, where a Member has not earned any Points. See Section 12.1 for information about the impact a suspension or termination of your account would have on your Points.

11. Do I earn extra Points with a JCPenney Credit Card or JCPenney Mastercard?

11.1. Upgraded Earning Rates on Qualifying Purchases for JCPenney and Aéropostale. When you use your JCPenney Credit Card or JCPenney Mastercard to make a qualifying purchase from JCPenney or use your JCPenney Mastercard to make a qualifying purchase from Aéropostale, you will earn Points at an upgraded rate instead of the standard rate described in Section 5. You may see Points you earn advertised as a percentage (%) back in rewards.

Your Points will be calculated based on your net purchase amount in the exact same manner as set forth in Section 5 (including all standard deductions, exclusions, and transaction limits) and subject to the same per transaction limits, but will apply the following rates based on your tier status at the time a purchase was made:

  • Insider tier: 1.5 Points per eligible $1 spent.
  • Elite tier: 1.5 Points per eligible $1 spent.
  • VIP tier: 2.0 Points per eligible $1 spent.

11.2. Upgraded Earning Rates on Qualifying Purchases for Other Merchants. When you use your JCPenney Mastercard to make a qualifying purchase from a merchant other than JCPenney and Aéropostale-branded online or store locations that accept Mastercard, you will earn 1 Point for every $5 in net purchases (purchases made by you or an authorized user minus returns and adjustments). Balance transfers, cash advances, finance charges, and fees do not qualify for points. Amounts are calculated based upon the sum of the prior billing cycle’s Mastercard purchases, less returns and include Points earned from applicable bonus offers.

11.3. Limitations. The JCPenney Credit Card cannot be used to make purchases at Aéropostale. Your JCPenney Credit Card and JCPenney Mastercard may also be subject to other limitations on where it can be used. Please review your JCPenney Account Agreement for details regarding card acceptance

11.4. Minimum Tier Status. If you are a JCPenney Credit Card or JCPenney Mastercard cardholder, you will be awarded at least Insider tier status for each Program Year that you remain a cardholder.

11.5. Account Standing and Linkage. To receive Points at the rates described in this section, you must have your JCPenney Credit Card or JCPenney Mastercard linked to your Loyalty Program account at the time the purchase is made. Likewise, to receive the minimum tier status described in this section, your card must be linked to your Loyalty Program account at the time the tier status is assessed. Additionally, your card account must remain open and in good standing at the time the Points are posted to your Loyalty Program account or the tier status is assessed, as determined by the issuing bank. Catalyst Brands is not responsible for the approval, management, or terms of your credit card account. Auto-enrolled JCPenney Credit Cardholders and JCPenney Mastercard Cardholders, who did not provide a valid email address in connection with their JCPenney Credit Card or JCPenney Mastercard, do not have the ability to view Rewards account activity online, download and print earned Rewards Certificates or other Program benefits, update their personal information online, or enjoy other benefits of online enrollment. These Members can link a valid email address to their JCPenney Credit Card or JCPenney Mastercard at www.jcp.com/rewards, in-store, or during the JCPenney Credit Card application process. Auto-enrolled JCPenney Credit Cardholders and JCPenney Mastercard Cardholders who do not link an email address to their JCPenney Credit Card or JCPenney Mastercard will receive their Rewards through the U.S. mail.

12. Miscellaneous

12.1. Suspension, Termination, and Opt Out. Catalyst Brands reserves the right to suspend, downgrade your existing tier, or terminate your participation in the Loyalty Program in whole or in part, with or without notice, if Catalyst Brands determines in its sole discretion that you have violated these Program Terms or any applicable Brand Terms, or that your participation in the Loyalty Program is unauthorized, deceptive, fraudulent, or otherwise unlawful. Additionally, if your account with any Participating Brand is suspended or terminated for any reason, it may result in the suspension or termination of your participation in the Loyalty Program.

If you no longer wish to participate in the Loyalty Program, you can choose to opt out by calling Customer Service. Opting out of the Loyalty Program does not terminate your account with any Participating Brand, and you will continue to be able to receive marketing communications unless you separately unsubscribe. While you may be permitted to re-enroll if you opt out, any previously accumulated Points, CashPasses, and tier status will not be reinstated when you re-enroll.

If your participation in the Loyalty Program ends for any reason or if you delete your account with any Participating Brand, you will lose your Points, CashPasses, and tier status.

12.2. Modifications. Catalyst Brands may, at any time and without prior notice, make changes to these Program Terms and may modify, suspend, or discontinue the Loyalty Program. Modifications that Catalyst Brands may make to the Loyalty Program include changing the way Points are earned, calculated, or expired, changing the Rewards offered, changing the thresholds for Rewards, and changing the benefits associated with tiers. The "Last updated" date above indicates when these Program Terms were last changed. If we make future changes, we may provide you with notice of such changes, such as by sending an email, providing a notice through the Participating Brand websites, or updating the "Last updated" date at the top of these Program Terms. Unless we say otherwise in our notice, the amended Program Terms will be effective immediately, and your continued participation in the Loyalty Program (including by continuing to maintain your account with any Participating Brand) after we provide such notice will confirm your acceptance of the changes. If you do not agree to the amended Program Terms, you must stop participating in the Loyalty Program.

12.3. Relationship to the Brand Terms. The specific Brand Terms that apply to any matter, dispute, claim, or controversy will be the Brand Terms of the Participating Brand to which the issue primarily relates. For example, if the majority of your Point balance is derived from interactions with one specific Participating Brand, that Participating Brand's Brand Terms will apply to any disputes regarding your Point balance. If it cannot be determined which Participating Brand an issue primarily relates to, the Aéropostale Terms of Use will apply. To the extent there is a conflict between these Program Terms and the applicable Brand Terms, the Brand Terms will govern such conflict.

12.4. Entire Agreement. These Program Terms and any other terms that reference these Program Terms, together with the applicable Brand Terms, contain the entire understanding between you and Catalyst Brands regarding the Loyalty Program.

12.5. Severability. If any part of these Program Terms is found not to be legally enforceable, that will not affect any other part of these Program Terms.
